DBSheriff End User Licence Agreement
This agreement governs your use of the DBSheriff software, its licence files, documentation and updates (the "Software"). By ticking the acceptance box on the purchase page, installing a licence file, or using the Software beyond the free trial, the company you act for (the "Customer", "you") agrees to it. If you do not agree, do not buy or use the Software.
1. Licence grant
Subject to this agreement and payment of the fees, Sun AI and Data LLC grants the Customer a non-exclusive, non-transferable licence, for the licence term, to install and run one copy of the Software on one installation (one DBSheriff host and the containers it starts) identified by the installation fingerprint you supplied, and to monitor the database engines and the number of servers the licence file names. Additional installations need additional licences.
2. Licence file and binding
The licence file is bound to the fingerprint you supplied at purchase (an installation id and, on cloud hosts, the account id). Moving the Software to another host needs a re-issued licence, which Sun AI and Data LLC provides on request at no charge once per term for the same Customer. The Software checks the licence file offline; it never needs to reach Sun AI and Data LLC to run. If the binding does not match, the Software keeps detecting but disables response actions until the licence is re-issued.
3. Trial
Without a licence file the Software runs in demo mode for 30 days from first start with every feature enabled, for evaluation only. Demo mode stops when the 30 days end.
4. Term, renewal and expiry
The licence term is stated in the licence file (normally one year from the start date). It does not renew automatically. A renewal bought up to 60 days before expiry starts when the current term ends. After expiry the Software runs fully for a 30-day grace period with a warning, then continues in detect-only mode (response actions and full compliance reports disabled) until a new licence is installed.
5. Fees, taxes, refunds
Fees are those shown at purchase, plus applicable sales tax, charged by card or bank debit through Stripe, Inc. Sun AI and Data LLC never receives card or bank numbers. A licence is issued the moment the payment is confirmed. Because the licence file cannot be recalled once issued, fees are non-refundable, except where required by law or where the Software fails to work as documented and Sun AI and Data LLC cannot fix it within 30 days of a written report, in which case Sun AI and Data LLC refunds the fee for the unused part of the term. A payment that is later reversed (chargeback, returned debit) ends the licence.
6. Restrictions
You may not: copy the Software beyond one installation per licence; sell, rent, lease, sublicense, or provide it as a service to third parties; reverse engineer, decompile, or disassemble the compiled parts of the Software or its licence checks except where the law expressly permits; remove notices; use the Software to monitor systems you are not authorised to monitor; or share licence files. Source files delivered for operational transparency (producers, scripts, console code) may be read and adapted for your own installation only.
7. Ownership
The Software is licensed, not sold. Sun AI and Data LLC and its licensors keep all rights, title and interest, including all intellectual property, in the Software and any copies. Open-source components included with the Software are licensed under their own terms, listed in the documentation, which take precedence for those components.
8. Your data and responsibilities
The Software runs on your infrastructure and processes your database activity there. Sun AI and Data LLC has no access to that data. You are responsible for the systems you connect, for the credentials you give the Software, for reviewing and enabling any response action (kill, lock, block) it can take, and for complying with the laws that apply to monitoring your users. To sell and support the licence Sun AI and Data LLC stores your company name, contact details, the installation fingerprint, licence records and payment references (not card or bank numbers) for the term plus seven years, as required for tax records, and does not sell or share them except with the payment processor and as the law requires.
9. Support and updates
A paid licence includes e-mail support at support@dbsheriff.ai during the term (best effort, business days, US Pacific time) and all updates Sun AI and Data LLC releases during the term. Updates may change or remove features. Sun AI and Data LLC has no obligation to provide support for modified copies or unsupported platforms.
10. Warranty disclaimer
Sun AI and Data LLC warrants that for 30 days after issue the Software will perform substantially as documented. Otherwise the Software is provided "as is". Sun AI and Data LLC disclaims all other warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. The Software is a detection and response aid; Sun AI and Data LLC does not warrant that it will detect every threat, prevent every loss, or never act on legitimate activity, and you remain responsible for the configuration of response actions.
11. Limitation of liability
To the extent the law allows, Sun AI and Data LLC is not liable for indirect, incidental, special, consequential or punitive damages, or for loss of data, profits, revenue or business, arising from this agreement or the Software, however caused. Sun AI and Data LLC's total liability under this agreement is limited to the fees you paid for the licence in the twelve months before the claim. These limits do not apply to liability that cannot be limited by law.
12. Termination
This agreement lasts for the licence term. Sun AI and Data LLC may terminate it on written notice if you breach section 6 and do not cure within 15 days of notice. On termination you must stop using the Software and delete the licence file. Sections 5, 7, 10, 11, 13 and 14 survive.
13. Export and compliance
You will comply with US export laws and will not use the Software where such use is prohibited.
14. General
This agreement is governed by the laws of the State of California, without regard to conflict-of-law rules, and the courts of Contra Costa County, California have exclusive jurisdiction, except that either party may seek injunctive relief anywhere. It is the entire agreement about the Software and replaces prior discussions; a purchase order's terms do not apply. If a provision is unenforceable, the rest stays in force. You may not assign this agreement without Sun AI and Data LLC's written consent, except to a successor of your whole business who accepts it in writing. Notices to Sun AI and Data LLC go to sales@dbsheriff.ai. Sun AI and Data LLC may update this agreement for future purchases and renewals; the version accepted at purchase governs that licence.
